Regulations Relating to Publicly Traded Companies and Corporate Issues

With this background, Pinheiro Guimarães is able to advise both individuals and companies in their corporate routines, including compliance with applicable corporate legislation and regulations and, depending on the case, the observance of and compliance with regulations and requirements set forth in directives issued by the Brazilian Securities Commission and B3 S.A. – Brasil, Bolsa, Balcão.  In the regulatory area, Pinheiro Guimarães is constantly involved in complex consultations for which it develops and implements creative and innovative solutions.

Pinheiro Guimarães benefits from having in-depth experience in corporate restructurings, acquisitions and divestitures involving publicly traded companies, including their ramifications, such as public offerings to acquire shares (OPAs) presenting varying degrees of complexity.  In addition, it advises financial institutions, publicly traded companies and closely held corporations, controlling shareholders, minority shareholders, boards of directors and audit committees, executive officers and other corporate bodies, covering various matters involving corporate governance and compliance.

Finally, Pinheiro Guimarães advocates in the defense of its clients’ interests, from the preparatory acts to the actual institution of administrative processes brought against the clients before the Brazilian Securities Commission.  The firm negotiates and works toward reaching terms for settlements.  When necessary or advisable, the firm will advocate the client’s cause before the Council for Appeals of the National Financial System.  The firm also handles administrative proceedings that could lead to the imposition of sanctions whenever those proceedings are brought by regulatory entities and self-regulating entities for the capital markets, including B3 S.A. – Brasil, Bolsa, Balcão and the Brazilian Association of Financial and Capital Markets Entities.
