Pinheiro Guimarães is known for its solid experience in domestic and cross-border financial transactions, having actively represented private and institutional creditors, governments and development agencies, multilateral organizations and corporate obligors.  The firm is recognized as one of the leaders in this segment in Brazil.

The firm represents creditors and debtors in syndicated loans, refinancings, import financing, pre-export financing and other transactions involving trade finance (including advances against foreign exchange contracts – ACCs – and advances against foreign currency receivables – ACEs, compror and vendor. In addition, Pinheiro Guimarães counsels its clients on financing transactions related to the supply of materials, domestic and cross-border financial leases, securitization, credit-linked transactions, project finance and other structured financial transactions, financing of acquisitions and restructuring debt (including bankruptcy and judicial and extrajudicial reorganization).

The majority of the transactions in which Pinheiro Guimarães engages include a wide variety of personal guaranties and security interests in chattels and real estate (such as real estate itself, equipment, stocks, animals, plantings and crops, shares of the capital stock of companies, quotas in limited liability companies and in investment funds, securities and credit rights), in which cases the engagement of the firm involves the structuring and negotiation of the most effective liens on collateral for each case (pledge, fiduciary transfer or mortgage).  In so acting, the firm takes into account the type of collateral given as security, the domicile of each creditor, obligor and guarantor, and issues related to bankruptcy and restrictions imposed by Brazilian legislation and regulations.

In addition, Pinheiro Guimarães advises financial institutions in respect of the regulations and formalities to be complied with before the Central Bank of Brazil and the Brazilian Securities Commission.  Pinheiro Guimarães also represents various governmental and multilateral development agencies in cross-border financial transactions with Brazilian companies.
